Software Licence Agreement

This agreement governs your use of the Saphyr software platform, including Saphyr View, Library, Solo and Studio (the "Software"), operated by Saphyr ("we", "us"). By using the Software you accept these terms. If you do not accept them, do not use the Software.

1. Licence Granted

We grant you a non-exclusive, non-transferable, revocable licence to access and use the Software for your own business or personal purposes, for as long as your account remains in good standing. This is a licence to use a hosted service. No copy of the Software is sold or transferred to you.

1.1 Sandbox use

The Software may be used without registration. Sandbox sessions store nothing and are provided on the same terms as any other use of the Software.

1.2 Registered and paid use

A free registered account may store a limited number of models as stated on our pricing page. Paid subscriptions are limited by the storage allowance of the plan selected.

You retain all ownership of the CAD models, images, client information and other material you upload ("Your Content"). We claim no rights over your designs.

You grant us a limited licence to store, process, transmit and display Your Content solely to operate the Software for you — including generating previews, rendering models and serving links you choose to share. This licence ends when you delete the content or close your account.

You are responsible for holding the rights to anything you upload.

4. Shared Links and Published Collections

Where you generate a shareable link or publish a collection, you are directing us to make that content available to anyone holding the link or granted access. You control expiry and access. We are not responsible for onward distribution by recipients.

5. Our Intellectual Property

The Software, its interface, rendering engine, shaders, documentation and branding remain our property or that of our licensors. Nothing in this agreement transfers any of it to you.

6. Availability

We aim to keep the Software available continuously but do not guarantee uninterrupted access. Maintenance, third-party outages and factors outside our control may cause downtime. We may modify or discontinue features, and will give reasonable notice of material changes affecting paid subscribers.

7. Data and Backups

We take reasonable measures to protect stored data, but you remain responsible for keeping your own copies of your CAD source files. The Software is a presentation and workflow tool, not a backup service. Production files are held in your own systems.

8. Suspension and Termination

You may cancel at any time; cancellation takes effect at the end of the current billing period. We may suspend or terminate access where these terms or our Acceptable Use Policy are breached, or where payment fails and is not remedied.

On termination you may export or download Your Content for a reasonable period before it is removed.

9. Warranties and Liability

Nothing in this agreement excludes rights you have under the Australian Consumer Law that cannot lawfully be excluded.

Subject to that, the Software is provided on an "as is" basis. To the extent permitted by law, our total liability arising from your use of the Software is limited to the amount you paid us in the twelve months before the claim arose. We are not liable for indirect or consequential loss, including lost profits, lost business or loss of data.

You remain responsible for verifying dimensions, specifications and production decisions. Rendered previews are a visual aid and are not a substitute for professional judgement or physical verification before manufacture.

10. Changes

We may update this agreement. Material changes will be notified to registered users by email or in-product notice. Continued use after changes take effect constitutes acceptance.

11. Governing Law

This agreement is governed by the laws of New South Wales, Australia, and the parties submit to the non-exclusive jurisdiction of its courts.
